INTRODUCTION

Calanga Sunrise Lda, is a Company with a vision to build 25 x two bedroom houses. We offer this once-off unique opportunity to potential property owners in the Mozambican Tourism industry. The Company secured the “Land use & Benefit Rights” on 95.6 hectares of land for the sole purpose of building and selling these 2-bedroom holiday cottages (casas) on this land. We decided to do it in 2 phases as follows :

  • Phase 1 – 10 units on +/- 40 ha’s;
  • Phase 2 on the balance).

 

This is due to the fact that the Government gives you 2 years to complete a project and get your permanent Title. The first phase will only consist of 10 houses (first 10 units completed and the builders are currently busy with units 4,5 & 6, and after completion of these 10 units (estimated date of completion – June 2012), the request for the Permanent Tile will be submitted and the request to enlarge the project will follow.

 

This Development is situated next to the Holiday Resort – Calanga Beach Resort (see www.mozambiquecalanga.co.za), approximately 90 km’s north of Maputo (between Macanetta and Bilene).

 

Our adjoining project at Calanga Beach Resort is completed and we are in the process of expanding.

 

Due to the fact that when we started and completed our Resort project, the mistakes were made and the fines paid, but we are proud to say that we completed our schooling and paid the school fees so that you will not have to do that again.

We choose to develop and build this affordable and limited number of houses on this Development to assist people in owning their own piece of property on this beautiful coastline of Mozambique. Please note the following important facts about the Mozambican Land Law :

  • Nobody can sell any land in Mozambique – all land belongs to the Government and the people of Mozambique
  • As a non-Mozambican citizen, you as a private individual can’t own land or property in Mozambique. The only way that we as a Development Tourist Company can sell property is by Fractional Title or Time Share
  • The Local Community together with the Government gave Calanga Sunrise Lda. (A legally established Mozambican Tourism Company) a piece of land on the “Land use and Benefit Rights” for a renewable 50 year period. (Also see the Land Law of Mozambique attached hereto).
  • A Tourism project was approved and Calanga Sunrise Lda. were issued with all the necessary licenses.

The Calanga Sunrise Lda - project :

  • To ensure that we stay within the Mozambican Law, you will initially become an Investor in Calanga Sunrise Lda. The parties will agree upon an amount and this will be included in a legally binded Loan Agreement. This Loan Agreement will only be in force for the period that it takes to complete the new unit at Calanga Sunrise. Please see the plan to this – We stay within the Mozambican Law because you are a investor in the Company and you also become a Shareholder as follows
  • Each owner will also become a 2 % Shareholder in the Company which secured the following licenses :
    • Environmental
    • Tourism
    • Health
    • Trabalho (Employment)
    • Financial + Building License etc
  • After completion of this, the Company will also become the Body Corporate of the development. Each of the first 10 investors will also become part as the founding members of the Body Corporate and we will soon get together to finalize the Shareholders Agreement of the Company. Our first mission is then to complete the marketing of the first 10 units of Calanga Sunrise Lda.
  • After the Company completed the building works on the individual houses, you will have 2 options as follows :

1st OPTION

Your interest-free loan account in the Company will stay in effect and the Company will rent out the unit to tourists with a split of 50 % to you the Investor, and 50 % to the Company (this will be after Taxes). In this case all the expenses will be for the Companies account and you will have a limited time to utilize the unit for holiday purposes. Also, no levies will have to be paid.

 

When the Companies launches a Time Share concept as will be explained to you later, the first income will then go to the Investor until the loan account is paid back in total, and after this payback is completed the balance of the Time-Share income will be split between the Investor and the Company and you will receive a number of holiday weeks at no charge. You will receive your investment back in total and that will make a profit as well as keep some holiday weeks for free.

2nd OPTION

This option entitles you to own your own property in Mozambique. We call it the Guest House option due to the fact that you still need to stay within the tourism boundaries because this is what the Government of Mozambique wants – investment and enlargement in/of the tourism industry in Mozambique.

 

The parties sign a standard Mozambican “Fractional Title” contract that entitles you to transfer the Property to your own Mozambican Company. If you are a Mozambican citizen you can do it in your private name, but as a foreigner you need to establish your own small Company (almost the same as the Close Corporation (CC), in the R.S.A.). When our Legal Representative commences with this transfer, you will also receive your own Alvara (Trading License) and from then on you will be responsible for your own Taxes etc.

 

You will then operate your house and the “Land use & Benefit Rights” on 1 Ha, as a Guest House. Calanga Sunrise however can sign a separate agreement with you for the renting-out of your unit. This will work more or less the same as in the 1 st option mentioned above – a 50/50 split with the Company paying all the expenses. Please note that you will also receive a stamp in your Passport that you are a Sub-Title holder of Calanga Sunrise Lda. and that this Company has all the legally required licenses in place. In other words the Company did all the legally required work. You will also receive a Sub-Title for your unit that you can sell at any time (together with a Sale of Shares Agreement for your shares in Calanga Sunrise) as long as you give the Company the first option.

 

Please note that we went through great lengths to do things the right way in Mozambique. These options are the only legal ways to own a Property or house in Moz and if any other person tells you different, they are lying – the proof is in the Mozambican land law attached hereto. Also note that all the legal documents must be signed in Maputo and that we work through a very well respected person. We are in business in Mozambique with success from 1991 and note that you become part of a Group that invested over R 6 mill in Calanga, Mozambique.
